Our Corporate Practice works closely with our Bankruptcy Practice on matters that intersect both areas of law, including the purchase and sale of distressed corporate assets (both inside and outside the bankruptcy arena) and business reorganizations. Mergers and Acquisitions / Private Equity Transactions

ASK LLP represents public and private companies in connection with negotiated transactions (including mergers, stock purchases and asset acquisitions, leveraged buyouts and tender offers), and other transactions involving changes in corporate control. We represent buyers (both strategic and financial buyers), target companies and other financial institutions in these transactions. We also represent clients in domestic and international joint ventures in diverse industry sectors. Our clients include U.S. companies, global companies and foreign companies (including companies located in Israel and Asia).

Capital Markets and Venture Capital Transactions

ASK LLP represents issuers, underwriters, placement agents and investors in domestic and cross-border capital markets transactions. We have extensive experience counseling both U.S. and non-U.S. issuers and underwriters in public offerings and private placements, including initial public offerings, shelf offerings, traditional and Rule 144A private placements, exchange offers, venture capital investments, and cross-border securities offerings (including both registered and Regulation S offerings).

General Corporate Representation

We represent a variety of U.S. and foreign business enterprises as general corporate counsel. In this capacity, we handle general corporate, securities and other commercial matters. We advise our clients with respect to issues relating to corporate governance, business judgment, disclosure obligations and compliance matters arising under state and federal laws, including Sarbanes-Oxley.
